3D printing specialist voxeljet AG has announced the sale of its entire business operations to Anzu Partners LLC. The acquisition is part of an asset deal with a total value of around 20 million US dollars, with 1.7 million euros to be paid in cash. The remaining amount comprises the assumption of liabilities. The transaction is subject to the approval of the Annual General Meeting and investment approval in Germany and is expected to be completed in spring 2025.
Anzu Partners, an investment company specializing in industrial and life science technologies, sees great potential in voxeljet. Whitney Haring-Smith, Managing Partner of Anzu, emphasized: “voxeljet enables scalable additive manufacturing and supports customers with many years of expertise. The technology, from the world’s largest 3D printers to precise details, is a key competitive advantage.” The company plans to support voxeljet in strengthening its market position in additive manufacturing.
voxeljet, known for industrial 3D printers, supplies companies such as BMW and General Electric Vernova. Despite these prominent customers, the company has struggled with financial challenges in recent years. In April 2024, voxeljet extended a loan agreement in partnership with Anzu Partners, providing the company with an additional $5.5 million, which it used to fund ongoing operations and the NASDAQ delisting.
The purchase agreement contains a “go-shop” clause that allows voxeljet to consider alternative offers until mid-January 2025. If better offers are received, the company can terminate the contract in favor of a new buyer. At the same time, the management and Supervisory Board plan to put the liquidation of the company to a shareholder vote once the transaction has been completed.
Rudolf Franz, CEO of voxeljet, is optimistic: “Our teams have developed groundbreaking industrial 3D printers over 25 years. Together with Anzu Partners, we can further expand our expertise and maintain our long-term position in an increasingly competitive market.”
