Following the failed sale to the US investor group Anzu Partners, voxeljet AG is initiating a financial restructuring. The 3D printing specialist based in Friedberg (Bavaria) intends to reposition itself with the help of the German Corporate Stabilization and Restructuring Act (StaRUG). Previously, the resolution to sell the company was not adopted with the necessary majority at the Annual General Meeting on April 30, 2025.
Voxeljet develops industrial 3D printing systems based on binder jetting technology. The company supplies the automotive, aerospace and foundry industries, among others. The measures now planned are aimed at securing liquidity, reducing the debt burden and strengthening the equity base. A central element is the restructuring of existing debt with a main creditor that is close to the potential buyer Anzu Partners.
Specifically, the restructuring plan provides for a staggered debt reduction totaling EUR 3.5 million. Of this, EUR 500,000 is to be canceled in the current year, followed by a further EUR 1.5 million in 2026 and 2027. From July 2026, the interest rate will be reduced to 3% annually. There will be no interest payments between August 2025 and June 2026. The term of the existing loans will be extended until at least 2030.
In addition, a capital reduction to zero is planned, whereby the existing shareholders would be excluded without compensation. In a second step, the main creditor is to contribute EUR 2.5 million in fresh capital in the form of a capital increase without subscription rights for existing shareholders.
As no sufficient approval is expected at the Annual General Meeting, the restructuring concept is to be implemented directly via the StaRUG procedure. The publication of the 2024 annual financial statements will be postponed until at least August 2025. Voxeljet hopes that this step will stabilize its economic basis in the long term.
